Terms and Conditions

These Terms and Conditions ("Terms") are a legal agreement between you and Ayscend LLC ("Ayscend," "we," "us," or "our") governing your use of the Ayscend mobile application (the "App").

By creating an account, downloading, installing, accessing, or using the App, you confirm that you have read, understood, and agree to these Terms. If you do not agree to these Terms, do not use the App.

We may modify these Terms from time to time. Material changes will be communicated through the App, by email, or by another appropriate method.

You must be at least 13 years old to use Ayscend. By creating an account or using the App, you represent that you are at least 13 years old. We may request your date of birth or age to verify eligibility.

Users between the ages of 13 and 18 should review these Terms with a parent or guardian. We reserve the right to suspend or terminate any account we have reason to believe belongs to a user under 13.

To use Ayscend, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Keep your login credentials secure and confidential
• Notify us immediately at support@ayscend.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts with inaccurate, misleading, or incomplete information, or accounts that violate these Terms.

a. Subscription Plans

Certain features of Ayscend may require a paid subscription. Available plans, features, billing periods, and pricing are presented in the App before purchase.

b. Billing

All subscriptions are processed through Apple's in-app purchase system. By subscribing, you authorize Apple to charge your Apple ID account on a recurring basis at your selected billing interval until you cancel.

c. Free Trials

If a free trial is offered, it begins immediately upon activation. You will be charged at the end of the trial period unless you cancel before the trial expires.

d. Cancellation

You may cancel your subscription at any time through your Apple ID account settings under "Subscriptions." Cancellation takes effect at the end of the current billing period. We do not issue refunds for unused portions of a subscription period, except where required by applicable law or Apple's policies.

e. Restoring Purchases

Prior purchases may be restored at any time using the "Restore Purchases" option within the App.

f. Price Changes

We may change subscription prices. Price changes are handled through Apple's in-app purchase system. Apple may notify you of price changes and, where required, request your consent before the subscription renews at the new price. If you do not agree to a required price increase, your subscription may expire at the end of the current billing period.

Ayscend is licensed to you for personal, non-commercial use only. You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Use the App to harass, abuse, threaten, or harm other users
• Create fake, impersonating, or misleading accounts
• Attempt to gain unauthorized access to the App or its backend systems
• Use bots, scrapers, scripts, or other automated tools to interact with the App
• Interfere with the App's operation or degrade other users' experience
• Circumvent, disable, or tamper with screen time monitoring, blocking, or security features
• Use the App for any commercial purpose without our prior written consent
• Use the App in violation of any applicable law or regulation

Ayscend requires access to Apple's Screen Time-related frameworks to deliver core functionality. You acknowledge that:

• You must explicitly grant Screen Time permission for the App to function fully
• Screen time data is collected only for the specific apps you choose to track
• Your screen time data may be visible to friends you connect with and to members of any group leaderboard you join, as described in our Privacy Policy
• You are responsible for which apps you choose to track and which groups you choose to join
• Revoking Screen Time permission will limit or disable core App features
• Screen time data may not always be perfectly accurate, complete, or available

Ayscend includes social features, including friend connections, leaderboards, and group blocking or accountability sessions. You agree that:

• You will not post, upload, or share content that is offensive, harmful, abusive, defamatory, unlawful, or violates another person's rights
• You will not impersonate another person or misrepresent your identity
• We may remove content or suspend accounts that violate these Terms
• Your username, profile picture, and selected screen time statistics may be visible to friends and group members as described in our Privacy Policy

You grant Ayscend LLC a limited, non-exclusive, royalty-free, worldwide license to display your profile content and screen time data within the App solely to operate and provide App features. You retain ownership of any profile content you upload.

All content, design, code, branding, trademarks, logos, graphics, features, and materials within Ayscend are owned by Ayscend LLC or its licensors and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, sell, lease, sublicense, create derivative works from, or exploit any part of the App without our express written permission.

Ayscend integrates with third-party services, including Firebase/Google, Google Sign-In, Sign in with Apple, Apple In-App Purchases, Superwall, and calendar services accessible through your device permissions. Your use of third-party services may be governed by their respective terms and privacy policies. Ayscend LLC is not responsible for the content, practices, availability, or policies of third-party services.

If you downloaded the App through the Apple App Store, your use of the App may also be subject to Apple's applicable App Store terms, rules, and policies. All payments, billing, cancellations, and refunds for subscriptions are handled through Apple's in-app purchase system and your Apple ID account.

These Terms are between you and Ayscend LLC, not Apple. Apple is not responsible for the App or its content. The license granted to you is limited to a non-transferable license to use the App on Apple-branded products that you own or control.

Apple has no obligation to provide maintenance or support services for the App, and has no warranty obligation with respect to the App. Apple is not responsible for addressing claims relating to the App, including product liability claims or claims arising under consumer protection laws.

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

The App is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Ayscend LLC does not warrant that the App will be uninterrupted, error-free, secure, accurate, complete, or free from harmful components.

We make no guarantees regarding:

• The accuracy, completeness, or availability of screen time data
• The achievement of screen time goals
• The effectiveness of the App in reducing your screen time
• Improvements to productivity, wellbeing, focus, or mental health
• The availability or uninterrupted operation of blocking, tracking, leaderboard, or notification features

The App is not medical, psychological, therapeutic, financial, or professional advice.

To the fullest extent permitted by applicable law, Ayscend LLC and its officers, directors, employees, contractors, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of, or inability to use, the App. This includes damages for lost profits, lost data, loss of goodwill, device issues, service interruption, personal injury, emotional distress, or other intangible losses.

To the fullest extent permitted by applicable law, our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the greater of: (A) the amount you paid to Ayscend LLC in the twelve months preceding the claim; or (B) fifty dollars ($50).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Ayscend LLC and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Content or information you submit, upload, or share through the App

We may suspend or terminate your account and access to the App at any time, with or without notice, if we believe you have violated these Terms, created risk for Ayscend or other users, or used the App in a way that may cause harm. Upon termination, your license to use the App ceases immediately.

You may delete your account at any time through the App or by contacting us at support@ayscend.com.

Sections that by their nature should survive termination will survive, including Sections 8, 12, 13, 14, 16, and 17.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the App will be resolved in the state courts located in Chester County, Pennsylvania, or, if federal jurisdiction exists, in the federal courts of the Eastern District of Pennsylvania. You and Ayscend LLC consent to the personal jurisdiction and venue of those courts.

We may update these Terms from time to time. The "Last Updated" date at the top will reflect the most recent revision. If we make material changes, we will notify you through the App, by email, or by another appropriate method. Continued use of the App after updated Terms are posted means you accept the updated Terms.
